The following Terms and Conditions (these "Terms") govern your access to and use of the ZSM website and mobile application (the "Platform" or "ZSM"), powered by Zeno Lynk Technology Limited, with its registered office at 5B Remi Olowude Street, Lekki, Lagos State, referred to hereafter as "we" or "us," "ZSM," and "you" or "User" means you as a user of the Platform.

By accepting these Terms, you agree to be bound by them. If you do not agree to these Terms, you will be unable to access all or certain parts or features of the Platform.

To access and use the ZSM Platform on the web or mobile, in any manner, you must be 18 years of age or older, or the age of majority as defined in your jurisdiction. By using ZSM, you represent that you have reached the age of majority in your jurisdiction and that you have the legal capacity to agree to and abide by these Terms.

If you are accessing the Platform on behalf of a business, you represent that you have the authorization to access and operate the Platform on behalf of that business.

You authorize us, directly or through third parties, to make any inquiries we consider necessary to validate your identity. You must, at our request:

1. Provide further information which may include your date of birth or other identifying information;
2. Confirm ownership of your email address or financial information; or
3. Verify your details against third-party databases or other sources.

We reserve the right to suspend or restrict your account if we are unable to verify your information satisfactorily.

To fully access the ZSM Platform, you must register for an account and provide accurate, complete, and up-to-date information. If you create an account on behalf of a business, you warrant you have the authority to accept these Terms on its behalf.

You agree not to provide false or misleading information about yourself or your business. To register, you will be asked to provide your full name, date of birth, email address, phone number, and other relevant details. For certain features, you may need to provide your Bank Verification Number (BVN) or other financial data.

You will be required to create a Username, Password, transaction PIN, and security questions.

We may restrict or block your access temporarily or indefinitely if:

1. You breach these Terms or associated policies;
2. We cannot verify your information;
3. We believe your actions could cause loss or harm to others or us.

You are responsible for keeping your login details secure. We will not be liable for any loss due to failure to protect your account information.

If you forget your login details or transaction PIN, use the "Forgot Password" option on the login page and follow the instructions. For PIN changes or suspected compromise, contact us via the email provided below.

We work to keep the Platform secure but cannot guarantee uninterrupted or completely secure access. We are not liable for unauthorized access caused by hackers or third parties.

ZSM offers the following services:

1. Rider booking
2. Driver management
3. Payment processing
4. Ride tracking
5. Customer support

You agree not to:

1. Access another user’s account or non-public parts of the Platform;
2. Interfere with or disrupt the Platform’s services;
3. Abuse or commit fraud through the Platform or payment systems;
4. Upload viruses, malware, or malicious code;
5. Use the Platform to violate laws or infringe on intellectual property;
6. Collect or sell personal data of other users without consent.

The ZSM Platform may link to external sites not controlled by us. We are not responsible for their content, privacy, or security.

We may use third-party providers to help deliver the service. These providers have access to your personal data only to perform their duties and must keep it confidential.

To help keep your ZSM account secure:

1. Do not share your security details with others;
2. Always log out after use;
3. Notify us immediately if you suspect fraud or unauthorized access;
4. Change your password or PIN if you believe they have been compromised;
5. We will never ask you for your password or PIN by phone or email.

You understand and agree not to:

1. Attempt to access others’ accounts;
2. Use the Platform to disrupt services or commit fraud;
3. Use bots or automated systems to scrape data;
4. Circumvent security measures
5. Reverse engineer the Platform.

Violations may result in immediate suspension or termination of your account.

We may update these Terms at any time by posting the changes on the Platform. Continued use means you accept the changes.

We may also modify or discontinue services or features without prior notice.

We may suspend your access without notice for reasons including:

1. Security concerns;
2. Violations of Terms;
3. Fraud suspicion;
4. Legal obligations;
5. System maintenance or upgrades.

All content on the Platform is owned by ZenoLynk Technology Limited. You may not use it commercially without permission.

You may close your ZSM account at any time by contacting us. Upon closure, uninstall the app if applicable.

We may, at our sole discretion, permit you to post, upload, publish, submit, or transmit text, graphics, images, videos, or other materials ("Content") on the Zeno Smart Mobility Platform ("Platform"). By making Content available, you grant Zeno Smart Mobility (ZSM) a worldwide, irrevocable, perpetual, non-exclusive, royalty-free license to publicly display, distribute, or otherwise use the Content on the Platform, including for promotional materials and publications.

ZSM does not claim ownership of any Content you submit, and nothing in these Terms restricts your rights to use or exploit your Content elsewhere.

You acknowledge and agree that you are solely responsible for all Content you post. You represent and warrant that:
(a) you are either the sole and exclusive owner of the Content or have all necessary rights, licenses, consents, and releases to grant ZSM the rights described herein; and
(b) your Content, and your use of it on the Platform, does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or any applicable laws or regulations.

You agree not to upload or submit Content that:
(i) is illegal, pornographic, hateful, obscene, or defamatory;
(ii) contains commercial advertising or marketing for other goods or services;
(iii) infringes on the intellectual property rights of others; or
(iv) contains viruses, malware, or other harmful components.

ZSM is not required to review Content in advance but reserves the right to remove or block any Content that violates these terms without notice and may suspend or terminate your access to the Platform accordingly.

The ZSM Platform may undergo upgrades and maintenance, which may affect availability or functionality.

We disclaim all liability arising from errors, delays, or interruptions in electronic information distribution.

Third-party services accessed via the Platform are provided by independent partners. ZSM makes no warranties regarding third-party services and disclaims all liability for any claims, damages, or losses arising from their use.

ZSM does not endorse any third-party information or services offered on the Platform and will not be liable for decisions made based on such content.

You assume all risks associated with your use of the Platform, which is provided “as is” and “as available.” ZSM disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee uninterrupted or error-free use of the Platform and disclaim liability for viruses, bugs, errors, omissions, or inaccurate information.

Under no circumstances shall ZSM or its employees, officers, directors, agents, or affiliates be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from your use of the Platform or services.

The Platform may contain links to third-party websites for your convenience. ZSM does not control or endorse these sites and is not responsible for their content.

Some Platform services allow users to upload or route various third-party information. Except for content clearly identified as ZSM’s, we disclaim any responsibility for third-party content.

If any provision of these Terms is found to be unlawful, invalid, or unenforceable in any jurisdiction, such provision will be severed and the remainder will continue in full force and effect.

ZSM shall be excused from performing its obligations under these Terms due to events beyond its reasonable control, including natural disasters, acts of war or terrorism, labor strikes, quarantines, system breaches, or other unforeseeable circumstances.

You agree to indemnify and hold harmless ZSM, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

We will strive to resolve any issues arising from your use of the Platform amicably. If resolution is not possible, all disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria.

These Terms are governed by the laws of the Federal Republic of Nigeria.
